Three Kyara SPVs: Wearality, Blockstream, and OH2

A bank-first review resolves three Southern Financial LLC subscriptions through numbered Kyara vehicles into three operating technology companies: $250,000 through Kyara II for Wearality, $500,001 through Kyara III for Blockstream, and $250,000 through Kyara IV for OH2 Laboratories.

Executive finding

Three numbered SPVs can be resolved to three operating companies.

The evidence supports indirect operating-company exposure through deal-specific SPVs. It does not support collapsing Southern Financial, the Kyara vehicles, Joi Ito, or the underlying companies into one entity, and it does not establish that every Kyara-branded vehicle had the same purpose.

The strongest lane is Blockstream because the authorization itself names the investment purpose. Wearality and OH2 require a bank-to-correspondence join.

Kyara II: $250,000 for Wearality exposure

A July 2, 2014 Deutsche Bank statement at EFTA01285003 records a $250,000 outgoing debit from Southern Financial LLC. Run 12 joins that debit to the Kyara Investment II subscription using Deutsche's transaction material and contemporaneous deal records.

The company identity is independently supported by correspondence. In EFTA01855432, a Wearality principal thanked Epstein for his investment in the company. Other archived correspondence describes Wearality as a virtual-reality company and one of Joi Ito's early portfolio companies.

Classification: BANK-4 indirect operating-company investment. The bank debit, SPV route and company-specific correspondence converge, but the surviving paperwork is not as explicit as the Blockstream wire authorization below.

Kyara III: the wire instruction names Blockstream

The Blockstream lane is unusually direct. The signed Deutsche Bank authorization at EFTA01401059 instructs a $500,001 wire from Southern Financial LLC to a First Republic Bank account for Joi Ito and states that the subscription to Kyara Investment III, LLC is to fund the Blockstream investment.

A separate Southern Financial statement at EFTA01285099 supplies posted banking evidence, while the recovered deal family contains seed-preferred and later pro-rata materials. Run 12 therefore classifies this route as BANK-4: bank execution plus deal-specific instrument/correspondence evidence.

Kyara IV: $250,000 tied to the OH2 “electronic nose” project

The March 12, 2015 Southern Financial payment of $250,000 through Kyara Investment IV is identified in the Deutsche transaction reconstruction as funding OH2 Laboratories. The supporting project emails are unusually specific about what OH2 was pursuing.

In EFTA02338495, Joi Ito describes the investment as the “electronic nose project” and discusses anti-dilution and MIT conflict-of-interest issues. A separate message at EFTA02595658 forwards an OH2 update and says, “I think we should invest.”

Classification: BANK-4 indirect laboratory/sensor-company exposure. The recovered material uses the OH2 Laboratories name, but Run 12 leaves the exact corporate-suffix detail bounded rather than inventing it.

Why the SPV distinction matters

These were not recovered as simple wires reading “Southern Financial → operating company.” The money moved through numbered Kyara vehicles and a First Republic/Joi Ito route. The operating-company attribution therefore requires a join between bank records and deal-specific correspondence.

That is why GAH labels these indirect investments. The SPV is part of the transaction structure, not a formatting detail.

What this brief does not establish

  • It does not identify Joi Ito as the beneficial owner of Southern Financial's money; he appears as the deal/SPV routing counterparty in the recovered records.
  • It does not infer wrongdoing from investment in any of the three companies.
  • It does not attribute later company activity, technology use, customers, or government relationships to these investments without a separate source chain.
  • It does not assume Kyara I, Kyara II, III and IV all held the same type of asset. Kyara I's underlying issuer remains unresolved.
  • It does not convert a fund/SPV portfolio relationship into direct ownership unless the transaction-specific records support that look-through.

The broader bank-first lesson

These three companies were easier to resolve from banking records than from the surrounding pitch traffic. That is the point of the bank-first method: identify the settled transfer first, then use legal and correspondence records to determine what economic exposure the transfer actually bought.
