Reporty’s $1M March 2015 Funding: Proven Cash, Incomplete Holder Chain
A March 16, 2015 Southern Trust memorandum instructs a $1 million wire from Deutsche Bank account ending 9244 to ERGO Ltd. with the reference “Reporty Investment.” The same month’s Deutsche statement posts a matching $1 million debit to ERGO account 19200/90. The cash movement is recoverable. The exact legal-holder chain should not be collapsed into the bank payer.
Executive finding
The money moved. The ownership structure is not the same fact.
The evidence supports a funded Reporty transaction: Southern Trust supplied the cash, ERGO was the named beneficiary, and the bank statement independently posts the matching debit. Separate Barak-archive legal material later identifies SUM (E.B.) 2015 and Ergo (E.B.) 2014 Ltd in the Series A structure. That does not make Southern Trust, SUM, and ERGO the same legal entity or prove that Southern Trust itself was the registered Reporty shareholder.
People in the transaction record
The correspondence and bank execution are different layers

Barak appears in the January term-sheet correspondence and later Reporty/Carbyne economic paper. The bank receipt is separately established by the Southern Trust records.

Source provenance
From negotiation to bank execution
The source pages make the distinction visible: a January negotiating record, a March wire instruction, and a posted bank debit are three different evidentiary objects.

Barak sends Reporty materials into the Epstein/Indyke review loop. This is negotiation evidence, not proof of the later settled amount.

The Southern Trust memo instructs $1 million to ERGO Ltd. with the reference “Reporty investment.”

The Southern Trust statement independently records the same-date $1 million outgoing transfer to ERGO, closing the cash leg while leaving the legal-holder chain separate.

January: the investment terms were still being negotiated
The January 2015 correspondence is useful precisely because it is not final. In EFTA00654146, Barak forwards a Reporty term-sheet draft to Epstein and Darren Indyke and recommends moving forward. The next day’s chain at EFTA02512061 discusses a proposed $1.5 million investment, valuation, equity percentage and warrants.
By January 28, Barak says the term sheet is still non-binding and may change before an agreement is signed. EFTA02512020 also says Darren already had the term sheet and capital table.
Boundary. Those January figures are negotiating terms. They are not interchangeable with the $1 million bank execution recovered in March.
March 16: Southern Trust instructs the $1 million Reporty wire
The Southern Trust memorandum at EFTA01360528 identifies the debit account ending 9244 and instructs: wire $1,000,000 to ERGO Ltd. The memo names Bank Leumi, account 19200/90, and gives the reference “Reporty Investment.”
A second rendering of the same instruction survives at EFTA01404004. The instruction is attributed to Darren Indyke in the recovered memo family.
The matching Deutsche statement proves the debit posted
The March 2015 Southern Trust Deutsche Bank statement at EFTA01285411 independently records a March 16 outgoing $1,000,000 transfer to ERGO Ltd., account number rendered as 19200190. That date, amount, beneficiary and account number match the wire instruction.
There is one source-level discrepancy worth preserving: the instruction names Bank Leumi as receiving bank, while the statement’s rendered transaction line reads “TO DEUTSCHE BANK A/C 19200190 ERGO LTD.” GAH does not silently reconcile that bank-label difference. The common date, amount, beneficiary and account number are the controlling match.
Why Southern Trust is the payer, not automatically the legal holder
The surviving Barak-side legal record is more layered than the bank statement. An archive-only primary attachment, “Reporty - Additional Closing 1522016.doc”, identifies SUM (E.B.) 2015 LP with GP Ergo (E.B. 2014) Ltd. and describes a Series A additional closing under an SPA dated March 29, 2015.
That legal paper is later than the March 16 cash movement and does not, by itself, prove that the exact $1 million debit bought a particular number of Reporty shares for a particular registered holder. It does establish why the payer, intermediary/GP structure, and legal investment vehicle must be kept as separate fields.
SUM-related economic paper persists into 2018
The later correspondence at EFTA02621721 carries the subject “Carbine/Reporty - SUM warrants.” Barak tells Epstein he is forwarding documents previously discussed and says the CEO, CFO and company lawyers rejected another option.
That confirms continuing SUM-related legal/economic paper around the company years later. It does not retroactively convert the March 2015 Southern Trust debit into a fully reconstructed SUM ownership certificate.
Why this is BANK-4, not BANK-5
The cash leg is strong: instruction plus posted statement debit plus deal-specific “Reporty Investment” reference. The legal/deal context is also strong enough to resolve the operating-company purpose. What remains incomplete is the exact executed instrument tying this specific $1 million payment to a final share count, registered holder and complete ownership schedule.
That is why GAH classifies the lane BANK-4: funded transaction plus deal/vehicle support, but not a fully closed cash-to-final-ownership chain.
Claim / source / limit
| Claim | Source | Limit |
|---|---|---|
| January Reporty terms contemplated a $1.5M investment and negotiated equity/warrants. | EFTA00654146; EFTA02512061; EFTA02512020 | Non-binding negotiation, not final funded terms. |
| Southern Trust instructed a $1M Reporty wire from account *9244 to ERGO. | EFTA01360528; EFTA01404004 | Instruction alone would not prove settlement. |
| The same-date $1M ERGO debit posted to Southern Trust’s Deutsche statement. | EFTA01285411 | Destination-bank label differs from the instruction rendering. |
| SUM/ERGO appears in surviving Series A legal paper. | Barak archive: Reporty - Additional Closing 1522016.doc | Archive-only attachment; later side letter does not fully reconstruct the March payment’s registered holder/share count. |
| SUM-related Reporty/Carbyne warrants were still under discussion in 2018. | EFTA02621721 | Later economic/legal context, not proof of original share allocation. |
What this brief does not establish
- That the January $1.5 million proposal was the amount ultimately funded.
- That Southern Trust, SUM (E.B.) 2015, ERGO, and Reporty were the same legal entity.
- The exact share count or final registered holder produced by the March 16 $1 million debit.
- That the 2017 Series A-1 investment reported in later press used Southern Trust money; the A-1 closing instrument remains unrecovered.
- A completed U.S. government-access outcome from the later Reporty/Carbyne NG911 activity.
- Wrongdoing arising from the investment structure.
The research correction matters too
Earlier Run 1 work reported that no Southern-Trust-labeled Reporty wire had been recovered. Later bank-first work found the March instruction and posted Deutsche debit. During this publication pass, GAH also corrected the Run 12 normalized bank label from JPMorgan to Southern Trust’s Deutsche account *9244, while preserving the Leumi-versus-Deutsche destination-label discrepancy in the underlying records.
