Two Honeycomb SPVs, Two Different Timelines: Spotify and Tencent Music

The archive resolves two Honeycomb single-name vehicles to operating companies, but their bank timelines are not interchangeable. Southern Trust entered Honeycomb Ventures I for Spotify in July 2017 and later received a $1.7525 million Honeycomb distribution. Tencent Music was pitched through Honeycomb Ventures IV before its IPO, but the only recovered $10 million Caterpillar Trust wire to Ventures IV is dated March 13, 2019—after Tencent Music was already public.

Executive finding

The vehicles are similar. The transaction timing is not.

Honeycomb Ventures I and Honeycomb Ventures IV are both deal-specific co-investment vehicles. But the recovered evidence supports different descriptions: Spotify is a private-stage crossover investment with a later cash distribution; Tencent Music is a pre-IPO opportunity whose recovered $10 million bank funding appears only after the company had already listed.

Spotify and Tencent Music need separate receipt chains

The visuals make the timing problem obvious: the Spotify route has an earlier allocation and later distribution, while the recovered Ventures IV bank funding arrives after Tencent Music was public.

Spotify: the private-stage route is explicit

On July 10, 2017, Richard Kahn forwarded Honeycomb Ventures I wire instructions in EFTA02366568. The message asks whether Epstein wanted “more than 1mm in Spotify,” notes another $2 million of available capacity, and gives JPMorgan instructions for Honeycomb Ventures I LP with the reference Southern Trust Company.

Kahn then wrote that the wire was being sent and should arrive by 3 p.m. Run 10 reconciles the funded amount as $1,000,000. The additional $2 million capacity was offered; the recovered record does not establish that Southern Trust took it.

Spotify later produced a recovered Honeycomb distribution

Spotify completed its NYSE direct listing on April 3, 2018. Seven weeks later, Southern Trust's May statement at EFTA01287619 records an incoming transfer of $1,752,515.84 from “HONEYCOMB VENTURES LP.”

That is a recovered cash-in/cash-out pair around the Ventures I position. GAH labels the May transfer a Honeycomb Ventures distribution/return. The bank statement does not call it “Spotify sale proceeds,” does not establish that the entire position was liquidated, and does not provide Spotify share count, fees, tax basis, or remaining exposure.

Tencent Music begins as another “crossover” opportunity

On June 26, 2018, Honeycomb capital-partnerships executive Dominique Ahumada described Spotify as the firm's first “private to public crossover opportunity” and offered Tencent Music Entertainment as a new single-name co-investment through Honeycomb Ventures IV LP. The email, preserved at EFTA02519406, says indications were due June 29 and funding was expected to follow by July 9.

That is a proposal timeline. It is not the recovered bank-funding date.

The recovered TME money arrives after the IPO

The March 2019 Deutsche Bank statement for The 2017 Caterpillar Trust at EFTA01288327 shows a $10 million cash-management transfer into Caterpillar on March 12 and an outgoing $10,000,000 wire the next day to JPMorgan Chase for HONEYCOMB VENTURES IV LP.

Tencent Music's ADSs had begun trading on the NYSE on December 12, 2018. The recovered bank execution therefore lands roughly three months after the public listing—not on the July 2018 funding schedule described in the original crossover pitch.

Boundary. The March 2019 payment may reflect a delayed capital call, a secondary purchase, a remaining allocation, or another settlement mechanic. The recovered statement does not say which. GAH therefore does not label the March 2019 $10 million wire as pre-IPO funding.

The legal pack exists, but it does not erase the timing problem

A Honeycomb Ventures IV acknowledgment survives at EFTA00313991, notarized by Lesley Groff in New York. That supports the existence of a Ventures IV legal-document package. It does not establish that the March 2019 bank wire settled the originally contemplated July 2018 transaction on unchanged terms.

Do not merge these vehicles with Honeycomb Partners

Run 10 separates three different Honeycomb structures:

  • Honeycomb Partners LP — the flagship fund, with $63 million of Southern Trust subscription wires summarized by Deutsche Bank;
  • Honeycomb Ventures I LP — the deal-specific Spotify route, with Southern Trust as subscriber;
  • Honeycomb Ventures IV LP — the deal-specific Tencent Music route, with The 2017 Caterpillar Trust as subscriber.

The $10 million Ventures IV wire must not be added to Southern Trust's $63 million Honeycomb Partners total, and neither vehicle should be merged into either Butterfly Trust.

What this brief does not establish

  • That Southern Trust took the additional $2 million Spotify capacity offered in July 2017.
  • That the May 2018 Honeycomb distribution represented a complete Spotify exit or a specific realized profit.
  • That the March 2019 Ventures IV wire was a pre-IPO TME purchase.
  • That Caterpillar, Southern Trust, Honeycomb Partners, Ventures I, Ventures IV, or either Butterfly Trust were the same legal vehicle.
  • Any wrongdoing, company control, or operational role in Spotify or Tencent Music.

Why the distinction matters

Both transactions can be described as Honeycomb single-name exposure. Only one can safely be described from the recovered banking record as a private-stage funding route before public listing. The bank timeline is what prevents the TME lane from being overstated.
