Neoteny 3: The $1M Fund Wire That Does Not Prove a Portfolio-Company Investment

Southern Financial LLC subscribed $1 million to Neoteny 3, LP in March 2015, received a 100% capital call in April, obtained same-day approval to send the money, and posted the $1 million bank transfer on April 13. The recovered records establish a fund interest. They do not identify a specific operating company to which Southern Financial's capital can be attributed.

Executive finding

The fund investment is proven. A portfolio-company investment is not.

The evidence supports BANK-4 fund exposure: subscription/capital-call paperwork, explicit approval, bank execution, and a contemporaneous position record. It does not support converting Neoteny 3's broader portfolio into direct Southern Financial investments without a deal-specific allocation, distribution, side letter, or other capital-attribution record.

April 10: Neoteny 3 calls 100% of Southern Financial's subscribed interest

The capital-call record at EFTA02505285 identifies Neoteny 3, LP as the investment and Southern Financial, LLC as the partner. It says Southern Financial subscribed for a $1,000,000 interest as of the March 31, 2015 initial closing and that the fund was calling 100% of each partner's subscribed interest.

The notice asks for $1,000,000 by April 16 and supplies wire instructions to First Republic Bank for the benefit of Neoteny 3, LP.

April 13: Kahn asks to send the money; Epstein approves

On April 13, Richard Kahn forwards the capital call and asks whether it is acceptable to send the $1 million from Southern Financial. In EFTA02505378, Epstein replies simply: “ok.”

The correspondence therefore supplies approval and purpose before the bank transaction is read.

The bank statement records the $1 million transfer

The April 2015 Southern Financial statement at EFTA01285436 shows an April 13 outgoing money transfer of $1,000,000 to First Republic Bank with Neoteny 3, LP in the transaction description.

The date, amount, fund name and bank route align with the capital-call correspondence. That is why Run 12 classifies the transaction as a funded Neoteny 3 LP interest rather than a proposal or merely an unpaid commitment.

A same-day position update records Neoteny at $1 million

Also on April 13, EFTA02505439 records Kahn's investment update. He groups several positions under investments associated with Joi Ito and lists Neoteny — $1,000,000.

That list is useful for confirming the investment relationship. It does not name a company underneath Neoteny 3, and it does not convert the fund interest into direct ownership of any portfolio company.

Why the look-through stops at the fund

A fund can hold many assets, make follow-on investments, recycle capital, reserve capital for later rounds, charge fees, and receive distributions. Knowing that an investor funded the partnership does not tell us which dollar funded which portfolio company.

For GAH to attribute Southern Financial's $1 million to a specific operating company, the archive would need a deal-specific bridge such as a capital-allocation schedule, side letter, investment notice, distribution statement, SPV document, or correspondence explicitly linking this partner's capital to that company.

No such Neoteny 3 company-level bridge was recovered in Run 12.

Contrast with the Kyara vehicles

The distinction is visible in the same bank-first corpus. Kyara II, III and IV could be resolved to Wearality, Blockstream and OH2 Laboratories because their transaction-specific documents and correspondence identify the underlying operating-company purpose. Neoteny 3 does not provide that extra layer.

The same $1 million number therefore has a different evidentiary meaning depending on the paper trail: fund exposure is proven; direct company exposure is not.

What this brief does not establish

  • That Southern Financial directly owned shares in any specific Neoteny 3 portfolio company.
  • That a public portfolio list identifies where Southern Financial's $1 million was deployed.
  • That every Neoteny 3 investment should be attributed proportionally to Southern Financial.
  • That Joi Ito personally received the $1 million; the bank/capital-call beneficiary is the fund.
  • Any wrongdoing associated with the fund subscription.

Why this negative finding matters

Large investment graphs are easy to inflate by treating every fund portfolio company as a direct investment of every limited partner. This record shows why GAH does not do that. The money trail is real, but it stops at the partnership unless another source carries it farther.
